Terms of service

These terms govern use of Parzify (the "Service"), operated by Vipilink LLC ("Parzify", "we"). By creating a company on the Service or using it as a member of a company, you agree to them. If you are accepting on behalf of a company, you confirm you have authority to do so.

1. The Service

Parzify builds and maintains an organisational chart and people directory from data your company provides through its identity provider (for example Okta) or directly. We may change or improve the Service; we will not materially reduce its core functionality during a paid term without notice.

2. Accounts and companies

A company is created by an administrator who confirms a work email address. Administrators are responsible for who they assign to the Service, for the accuracy of the data their identity provider sends, and for keeping their credentials and authenticator devices secure. Members may only use the Service as permitted by their company.

3. Your data

You keep all rights to the data you provide ("Customer Data"). You grant us the limited right to host, process and display it solely to provide the Service. We process personal data on your behalf as described in the Privacy policy and, for customers who need it, the Data processing addendum. We do not sell Customer Data and do not use it to train models.

4. Acceptable use

You may not use the Service to violate law, to infringe others' rights, to attempt unauthorised access to other companies' data, or to probe or disrupt the Service. Security research on your own company's tenant is welcome; please coordinate with security@parzify.com.

5. Fees

Paid plans are billed per active person per month or year, as shown on the pricing page at the time of purchase. Trials are free. Fees are non-refundable except where required by law. We may change prices with at least 30 days' notice before your next renewal.

6. Term and termination

You may cancel at any time; the Service remains available until the end of the paid period. We may suspend or terminate access for material breach of these terms after notice, or immediately if the breach threatens the Service or other customers. On termination we delete Customer Data within 90 days, sooner on request.

7. Availability and support

We aim for the Service to be available continuously and maintain backups, but we do not guarantee uninterrupted availability. Support is provided by email at support@parzify.com during business hours in the Pacific time zone.

8. Warranties and liability

The Service is provided "as is". To the extent permitted by law, we disclaim implied warranties, and our total liability for any claim arising from the Service is limited to the fees you paid us in the twelve months before the claim. Neither party is liable for indirect or consequential damages. Nothing here limits liability that cannot be limited by law.

9. Confidentiality

Each party will protect the other's confidential information with at least reasonable care and use it only for purposes of these terms.

10. General

These terms are governed by the laws of the State of California, and disputes will be resolved in the courts of Los Angeles County, California. If a provision is unenforceable, the rest remains in effect. We may update these terms; material changes will be announced in the Service or by email at least 30 days before they take effect.
